Subscriber Agreement
This Subscriber Agreement ("Agreement") is entered into between Jordan J Pritchard, operating as AiMe Services ("AiMe," "we," "us," or "our"), based in Plano, Texas, and the business or individual accepting this Agreement ("Subscriber," "you," or "your"). By signing below or submitting the acceptance form, you agree to be bound by the terms set forth herein.
1. Services
AiMe will provide the communications automation services corresponding to the plan selected by Subscriber at the time of enrollment. Services may include, depending on the selected plan:
- Missed call auto-text — automated SMS sent to callers when a call goes unanswered
- AI-powered SMS follow-up — ongoing conversational responses via artificial intelligence
- Dedicated business phone number
- AI website chat widget — embedded on Subscriber's website to engage visitors in real time
- Lead logging via Google Sheets integration
- Custom AI personality configuration
- Scheduling integration and priority support (Premium plan)
- Monthly performance review (Premium plan)
The specific services included in each plan are as described on aimeservices.com/#pricing at the time of Subscriber's enrollment. AiMe reserves the right to modify plan inclusions with 30 days written notice to Subscriber.
2. Fees and Payment
Subscriber agrees to the following fee structure:
- One-time setup fee: $150.00, due prior to or at the time of onboarding
- Monthly subscription fee: $197.00 (Basic), $297.00 (Pro), or $497.00 (Premium), billed at the start of each billing cycle
All fees are in U.S. dollars. Payment is due on or before the first day of each billing period. AiMe reserves the right to suspend services for accounts more than 7 days past due. Fees are non-refundable except as expressly stated in this Agreement.
3. Term and Cancellation
This Agreement begins on the date services are activated and continues on a month-to-month basis. Either party may cancel with written notice at least 7 days before the next billing date. Cancellation requests submitted after that window will take effect at the end of the following billing period. To cancel, email contactus@aimeservices.com. There are no cancellation fees or long-term contracts.
4. Subscriber Responsibilities
Subscriber agrees to:
- Provide accurate business information during onboarding and promptly update AiMe of any material changes
- Ensure that customers and contacts who receive communications from the AiMe system have provided appropriate consent under applicable law, including the Telephone Consumer Protection Act (TCPA)
- Use the services only for lawful business communications purposes
- Not use the platform to send spam, harass individuals, or violate any applicable law or regulation
- Maintain the confidentiality of any account credentials and notify AiMe immediately of any unauthorized access
5. TCPA and SMS Compliance
Subscriber acknowledges that the services involve automated text messaging and accepts sole responsibility for ensuring that all contacts receiving messages have provided prior express written consent as required by the Telephone Consumer Protection Act (TCPA) and any applicable state laws. AiMe does not independently verify contact consent. Subscriber agrees to indemnify, defend, and hold AiMe harmless from any claims, penalties, or damages arising from Subscriber's failure to obtain required consents.
6. Intellectual Property
All technology, software, AI systems, workflows, branding, and platform infrastructure underlying the AiMe services remain the exclusive property of AiMe. This Agreement grants Subscriber a limited, non-exclusive, non-transferable right to use the services during the active subscription period. Subscriber retains ownership of their own business data, customer information, and proprietary content.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with this Agreement, and to use such information only for purposes of fulfilling obligations under this Agreement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Data and Privacy
AiMe will handle Subscriber data and end-customer data in accordance with its Privacy Policy, available at aimeservices.com/privacy-policy. AiMe will not sell Subscriber data or end-customer contact information to third parties. AiMe may use third-party service providers (including Twilio and Anthropic) to deliver the services; such providers are bound by their own privacy and data security policies.
9. Service Availability and Limitations
AiMe will make reasonable efforts to maintain service availability. However, AiMe does not guarantee uninterrupted or error-free service. Service may be affected by factors outside AiMe's control, including carrier networks, third-party API availability, and internet infrastructure. AiMe is not liable for any missed communications, lost leads, or business interruption resulting from service downtime.
10. No Guarantee of Results
AiMe makes no representations or warranties regarding specific business outcomes, lead volume, revenue generated, or conversion rates. Results will vary based on Subscriber's industry, call volume, response quality, and other factors outside AiMe's control.
11. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AIME EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
To the maximum extent permitted by applicable law, AiMe's total liability to Subscriber for any claim arising under or related to this Agreement shall not exceed the total fees paid by Subscriber in the three months immediately preceding the claim. In no event shall AiMe be liable for any indirect, incidental, special, consequential, or punitive damages.
13. Indemnification
Subscriber agrees to indemnify, defend, and hold harmless AiMe and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising from Subscriber's use of the services, violation of this Agreement, or violation of any applicable law.
14. Termination for Cause
AiMe may suspend or terminate services immediately upon written notice if Subscriber: (a) fails to pay fees within 14 days of the due date; (b) uses the services in violation of applicable law; (c) engages in conduct that is harmful to AiMe, its infrastructure, or third parties; or (d) materially breaches this Agreement and fails to cure such breach within 10 business days of written notice.
15. Modifications
AiMe may update this Agreement from time to time. Subscribers will be notified via email at least 14 days before material changes take effect. Continued use of the services after the effective date of changes constitutes acceptance. If a Subscriber does not agree to the updated terms, they may cancel before the effective date without penalty.
16. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Texas. Any disputes arising from or related to this Agreement shall be resolved exclusively in the state or federal courts located in Collin County, Texas. Both parties consent to the personal jurisdiction of such courts.
17. Entire Agreement
This Agreement, together with any order form or plan confirmation, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior discussions, representations, or agreements. No modification of this Agreement is effective unless in writing and signed by both parties.
